1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Bryx Digital ("Company," "we," "our," or "us") governing your access to and use of BryxFlow, including the website at bryxflow.com and the platform at app.bryxflow.com (collectively, the "Service").
By accessing or using BryxFlow, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them.
2. Description of Service
BryxFlow is a cloud-based customer relationship management (CRM) platform designed for local service businesses. The Service includes tools for lead management, automated follow-up, appointment scheduling, pipeline tracking, and related features.
3. Account Registration
To access BryxFlow, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
4. Service Rates & Billing
Standard Service Rates: The standard monthly subscription fees for BryxFlow are $397 (Standard), $547 (Pro), and $897 (Elite). All new accounts require a one-time, non-refundable BryxFlow Launch Fee of $497 to cover technical build-out, pipeline engineering, and mandatory carrier certification (A2P).
Founding Member Promotion: Accounts opened during the launch phase qualify for discounted monthly rates: $197 (Standard), $347 (Pro), and $697 (Elite). These rates are "locked-in" for the life of the account, provided the subscription remains active. The $497 BryxFlow Launch Fee applies to all accounts, including those on promotional monthly or annual billing cycles.
Technical Build-Out & Non-Refundability: By paying the BryxFlow Launch Fee, you acknowledge that technical work—including account provisioning, A2P 10DLC registration, and automation calibration—begins immediately. Consequently, this fee is strictly non-refundable regardless of subscription type, billing frequency, or carrier approval timelines.
Custom Development: Any request for bespoke automations, custom API integrations, or "done-for-you" workflow engineering not included in the standard snapshot is considered Custom Development. This work is not included in the Launch Fee or monthly subscription and will be quoted separately.
User Seats: Each subscription includes one (1) primary user seat. Additional user seats for staff or technicians are available for $50 CAD/month (or $500 CAD/year).
Usage-Based Billing: Subscription fees cover platform access and core features only. SMS, Email, Phone, and AI Voice/Conversation credits are billed on a pay-as-you-go basis (rebilling) based on actual consumption. You are responsible for maintaining a positive balance for usage credits to ensure uninterrupted service.
Billing & Cancellation: Subscriptions are billed in advance in Canadian dollars (CAD) via Stripe and are subject to applicable taxes (HST/GST). You may cancel at any time through your account settings. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months, unused time, or usage credits.
Price Changes: We reserve the right to change standard pricing with 30 days' advance notice. This does not apply to "locked-in" Founding Member rates unless the account is cancelled and reopened.
5. Acceptable Use
You agree to use BryxFlow only for lawful purposes and in compliance with all applicable laws and regulations. You must not: use the Service to send unsolicited commercial messages (spam); violate any applicable anti-spam laws, including Canada's Anti-Spam Legislation (CASL); upload or transmit viruses or any other malicious code; attempt to gain unauthorized access to any part of the Service; resell or sublicense the Service without written authorization from us; use the Service in any way that could damage, disable, or impair the platform.
6. SMS Messaging Compliance
Program Description: BryxFlow (a product of Bryx Digital) offers mobile messaging to users and their customers. By opting into our SMS service, you can expect to receive account notifications, appointment reminders, support updates, and promotional offers regarding the BryxFlow platform.
Message Frequency & Rates: Message frequency varies based on your account activity and interaction. Standard message and data rates may apply for any messages sent from us to you and from you to us.
Opt-Out & Help: You can cancel the SMS service at any time. Just text "STOP" to our number. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time. If you are experiencing issues with the messaging program, you can reply with the keyword HELP for more assistance, or contact us at [email protected].
Carrier Liability: Carriers are not liable for delayed or undelivered messages.
Compliance Responsibility: When using BryxFlow's SMS features for your own business, you are responsible for ensuring all messaging complies with applicable laws, including CASL (Canada) and carrier-specific guidelines. You must obtain express "opt-in" consent from contacts before sending SMS messages.
7. Intellectual Property
The Service, including all content, features, and functionality, is owned by Bryx Digital and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.
Your data remains your property. You grant us a limited license to use your data solely to provide and improve the Service.
8. Third-Party Integrations
BryxFlow integrates with third-party services including Google, Facebook, Instagram, and others. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the practices or content of third-party services.
9. Data and Privacy
Your use of the Service is governed by our Privacy Policy, available at bryxflow.com/privacy-policy. For the purposes of data protection laws (such as PIPEDA or GDPR), you agree that you are the Data Controller and Bryx Digital is the Data Processor. A Data Processing Addendum (DPA) is available upon request for users operating in jurisdictions requiring specific data handling agreements.
10. Uptime and Support
Support: Support is provided via email at [email protected] during business hours (Monday through Friday, 9:00 AM – 5:00 PM EST). Target response times vary by plan:
Standard: Within 24 business hours.
Pro: Within 12 business hours.
Elite: Within 2 business hours (Priority Support). Support covers platform configuration and automation issues. Issues related to third-party services—including carrier vetting delays (A2P), Google, or Meta—are subject to those specific providers' resolution timelines.
Elite AI Setup: For Elite tier subscribers, Bryx Digital provides a one-time initial configuration of the AI Knowledge Base using data explicitly provided by the Client. The Client is responsible for ensuring the accuracy of this data. Subsequent updates to the Knowledge Base or re-crawling of the Client's website are the responsibility of the Client using the provided dashboard tools.
11. Limitation of Liability and AI Content
11.1 General Liability: To the maximum extent permitted by applicable law, Bryx Digital and its partners shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business interruption. Our total aggregate liability shall not exceed the total amount paid by you to Bryx Digital in the three (3) months immediately preceding the event giving rise to the claim.
11.2 AI Content and Automated Interactions: BryxFlow provides AI tools, including AI Voice Agents and Conversation AI. You acknowledge that AI is probabilistic and may produce errors ("hallucinations"). You are solely responsible for all content, logic, and instructions provided to the AI. You must review and verify the accuracy of all AI-generated text, voice interactions, and appointment bookings. The Client acknowledges that AI accuracy is dependent on the data provided in the Knowledge Base; Bryx Digital shall not be liable for AI errors resulting from outdated or incorrect information maintained by the Client.
11.3 AI Indemnification: Bryx Digital shall not be liable for any damages, loss of business, or reputational harm resulting from AI-generated conversations, incorrect pricing quoted by AI, or scheduling conflicts created by the AI Employee. You agree to comply with all telemarketing and robocall regulations when using Voice AI features.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
13. Indemnification
You agree to indemnify, defend, and hold harmless Bryx Digital and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising out of your use of the Service or violation of these Terms.
14. Governing Law
Governing Law: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts located in Oakville or the Halton Region, Ontario.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the platform. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
